WHAT IS A BOARD OF DIRECTORS?

Powell Valley Electric Cooperative (PVEC) is a member-owned corporation. As a member of this corporation, you have a voice in its management and government.  How? A meeting is held each year when members vote to elect representatives who meet regularly and make important decisions for your cooperative.  

There are nine board members, representing nine districts, shown in the map below. Three of these representatives are elected each year to serve on a Board of Directors for a three year term.  Members of the Board of directors must be members of the cooperative, but cannot be employed by the cooperative.  (Go to interactive map of service area.)

 

This year’s annual meeting is set for Saturday, September 21 at Thomas Walker High School in Ewing, Virginia.  The three board seats up for election are Districts 4, 5, and 9.  

HOW ARE PEOPLE NOMINATED FOR THE BOARD?

The Board of Directors selects a Nominating Committee with representation from the nine director districts.  The committee does not include any current members of the board.  

The committee meets and presents a list of nominations for the three open districts at least 90 days before the annual meeting.

CAN ANY COOP MEMBER RUN FOR THE BOARD?

Yes.  If the member is in good standing, lives in the district where the board position is up for election, and submits at least 15 valid signatures of members in good standing.  These must be submitted to a PVEC office not less than 60 days prior to the annual meeting,  No one can run for board if that person “is a grandparent, parent, spouse, sibling, co-habitant, child or grandchild of an employee or incumbent director” (from PVEC bylaws).  If you want to know what district you are in, go to the map linked here .

 CAN A MEMBER ATTEND A BOARD MEETING?

Yes.  It is important that the person who represents you on the board serves the members in your district and the cooperative as a whole.  If you want to learn more about how the board works, members can attend the monthly board meetings, usually on the fourth Monday of the month at 6:30 pm.  The meeting schedule can be found on the PVEC website at the address above.

CAN A MEMBER SPEAK AT A BOARD MEETING?

Yes.  You must be a member of PVEC and complete a request form.  This form is available through a PVEC office.  The form must be completed and submitted to a PVEC office at least 10 business days before the date of the monthly board meeting.
